Geoffrey E. Perusse

Biography

Geoffrey E. Perusse is an attorney in the Corporate Department.

Geoff's practice focuses on securities law and general corporate matters. He regularly represents large and small businesses and focuses on providing practical, legal advice.

Having worked at the Securities and Exchange Commission, Geoff has a strong background in technical securities law matters. His time at the Commission provided insight into the underlying policy concerns that may exist in structuring securities products and offerings, and allows Geoff to assist clients in successfully negotiating difficult issues with the SEC. He has significant experience with private and public offerings, broker-dealer registration issues, and the regulation of private funds. He has advised banks, broker-dealers and investors in connection with the resale of restricted securities and has advised clients on the creation of secondary trading markets for privately held companies. He has been interviewed by a number of financial publications on securities law topics including CFO magazine and the Wall Street Journal.

Geoff also works on a regular basis with entrepreneurs and technology companies based in San Francisco and Silicon Valley. The Bay Area is an innovation hub and it has been exciting to assist new ventures in their development. He has substantial experience with drafting license agreements, raising capital through convertible debt offerings, common and preferred stock offerings, mergers and acquisitions, stock option matters, negotiating and drafting joint-ventures, drafting manufacturing agreements, and various trademark matters.

In addition to technology clients, with his deep connection to outdoor and action sports, he has represented a number of highly-visible outdoor sports clients.

Outside of the law firm, you will find Geoff exploring the Sierra Nevada's peaks, guiding heli-skiing in the Chugach mountain range in Alaska, and surfing the cold waves of northern California.

Education

Geoffrey received his B.A. from Colgate University in international relations with a focus on economics, and his J.D., cum laude, from Washington and Lee University School of Law, where he was a case writer for the Environmental Law Digest.
