Biography

Michael J. Murphy is of counsel with the firm, resident in the Los Angeles office, where he practices tax law. Michael provides federal and state income, property and documentary transfer tax advice in connection with domestic and foreign real property transactions. Those transactions include purchase/sale transactions, IRC Section 1031 exchanges, and limited liability company formations, dissolutions, interest transfers, and restructurings. He also provides tax advice in connection with loan workouts (including debt restructurings).

Michael represents developers and financial partners in the formation of limited liability companies. Also, he drafts and negotiates limited liability company operating agreements, property and development management agreements, promissory notes, deeds of trust, dissolution agreements, redemption agreements, assignments, settlement agreements and other agreements in connection with real estate and workout transactions.

Michael is also very active in political circles at the local and state level in California. He has utilized his political relationships developed over the last 20 years to assist clients in a variety of endeavors.

Michael has also spent a significant amount of time in mainland China beginning in 1998, and has provided advice to clients regarding doing business in China.

Education

Michael received his B.A. in accounting and psychology from Whittier College, where he graduated with honors. He obtained his J.D. and MBA from Stanford University and his LL.M. (Taxation) from New York University School of Law.
