Biography

Pauline M. Stevens is a partner in the Los Angeles office and is a member of the Finance & Capital Markets, and Banking & Financial Institutions groups.

She represents banks and other financial institutions as well as borrowers in connection with financial transactions ranging from leveraged financings to Chapter 11 exit financings, trade financings, credit enhancement, swaps and private banking. Her practice covers senior, mezzanine, second lien and subordinated debt, secured and unsecured financing, and bridge and asset-backed financing.

Pauline regularly works on transactions involving acceptances, multicurrency transactions and letters of credits, and on transactions secured by intellectual property, restricted and unrestricted margin stock and other non-traditional collateral. The work involves both rated and unrated financings ranging from the investment bank to middle market levels.

Financial institutions frequently call on Pauline to help develop innovative financial products such as borrowing base financing structures for homebuilders and real estate investment trusts. Recently, financial institutions have also been seeking assistance in implementing the Dodd–Frank Wall Street Reform and Consumer Protection Act and related regulations.

Pauline has handled financings for a wide variety of industries, including agriculture and food (including restaurants, wine and vineyards), entertainment and hospitality, homebuilding, professional services, and technology.

Pauline's writing has won her a Burton Award for Legal Achievement, and she has been elected a fellow of the American College of Commercial Finance Lawyers. Prior to joining Allen Matkins, Pauline was a partner at Morrison & Foerster LLP and, before that, an assistant general counsel with Bank of America.
