We represent numerous shopping center owners in the acquisition, disposition, development, land use, creation of CC&Rs, financing, leasing, and management (including litigation with tenants and representation when tenants file for bankruptcy) of the full spectrum of retail property types.
Acquisition and Disposition
We have handled several hundred shopping center purchases and sales ranging from outparcel sales to regional malls. We have also represented clients in the portfolio sales of shopping centers including a national portfolio of regional shopping centers.
Development and Major Store Transactions
Our retail practice group has significant experience representing the developers of regional malls, power centers, lifestyle/entertainment oriented centers and traditional grocery anchored centers including the negotiation of reciprocal easement agreements, purchase and sale agreements and anchor leases. In the regional mall context, we have in-depth experience with major department stores such as J.C. Penney, Sears, Nordstrom, Macy's, Neiman Marcus, Target, Saks Fifth Avenue and Bloomingdale's.
Our Land Use Group has represented shopping center owners and retail building owners on virtually every aspect of the Land Use entitlement, due diligence and litigation processes. We have secured and defended project approvals at the administrative level, fashioned vested rights to reduce long-term investment risks, warded off project-threatening initiatives and referenda, provided due diligence allowing the prospective shopping center buyer to better structure the transaction to reduce risk, and defended project entitlements in court against third-party challenge.
