Real Estate Finance and Capital Markets

The attorneys in the Real Estate Finance and Capital Markets Practice Group at Allen Matkins represent lenders and borrowers in a wide variety of debt investment matters. Our attorneys have wide-ranging experience structuring, documenting and negotiating all types of secured financing transactions for all major classifications of real estate assets including permanent, mezzanine, participating, revolving credit, and construction loans, CMBS and capital market and structured finance transactions.

Allen Matkins' lawyers are experts in traditional and securitized debt structures, production loans for the development of residential tracts, sale leasebacks, development bonds, and ground lease financing. We facilitate many of our loan transactions in issuing opinion letters on a wide array of issues, including enforceability, usury, Commercial Code, securitization and non-consolidation issues, and we represent loan servicers with regard to post closing and loan servicing matters.

Allen Matkins has developed long-standing relationships with leading regional, national and international financial institutions including banks, insurance companies, pension funds, finance companies, REITS, investment funds and investment banks. Closing a loan requires the resolution of land use, environmental and/or tax issues relating to the underlying real property collateral. Because Allen Matkins is one of the leading real estate firms in the nation, the Finance team has immediate access to other attorneys in the firm who practice in related fields such as land use, environmental law, tax, bankruptcy and litigation. The broad experience of our real estate practice gives the Finance attorneys the capability to craft creative and practical solutions which address the lender's concerns while still facilitating the borrower's need to close the financing in a timely and efficient manner.

Corporate Finance
Our Corporate Finance Group regularly assists issuers, investors, lenders and borrowers in a wide variety of equity, debt, asset securitization and lease financing transactions. These transactions range from public and private offerings of common and preferred stock, convertible securities, options, warrants and debt instruments to equipment financings, asset securitizations and bank borrowings. Our attorneys have extensive experience in advising banks, commercial lenders, leasing companies and borrowers in structuring, documenting and negotiating all types of loan transactions, including permanent, mezzanine, participating, revolving credit, and construction loans.

We use our extensive experience in a wide range of financing transactions to bring an innovative and efficient approach to assisting our clients with their financing needs. We also regularly draw upon the resources of our Bankruptcy and Creditors' Rights, Tax, Real Estate, Technology and Intellectual Property and other practice groups to provide added depth to our advice.

Our Securities Practice Group provides advice regarding ongoing securities law compliance issues and handles all types of securities transactions, including public equity and debt offerings, venture capital transactions, private placements and other forms of private financing. We represent corporate issuers, underwriters, placement agents and purchasers in numerous private and public offerings of equity, debt and asset-backed securities.

Public Offerings
Our Securities Practice Group works on public offerings of equity and debt securities for companies in a variety of industries. We represent both issuers and underwriters in initial public offerings, follow-on offerings for existing public companies and other financing transactions. Combining our securities expertise and industry knowledge, we work closely with attorneys in practice areas throughout our firm to complete public offerings in a timely and cost-effective manner. We also represent investment banks as underwriters in public offerings as well as in connection with their role as financial advisor in mergers and acquisitions.

Private Placements
Our Securities Practice Group works on private placements of equity securities for companies in a variety of industries. We represent both issuers and investors in private financing transactions.

Although we often assist clients with traditional venture capital financing, we also have significant experience with alternatives to traditional venture financing. We counsel clients in structuring managed private placements, completing private investments in public equity ("PIPEs"), and negotiating early stage corporate investments. We also provide counsel regarding bridge loan and longer-term debt financings.
