Andrew Bronstein

Associate

Andrew is an associate in the firm’s Tax practice, where he advises clients on the tax aspects of complex real estate transactions. His experience includes supporting acquisitions and dispositions, joint ventures, and portfolio transactions involving a variety of real estate asset classes.

Andrew regularly reviews and analyzes membership interest purchase agreements; joint venture and operating agreements; purchase and sale agreements; and related transactional documents for federal, state, and local tax issues. He also assists in drafting and negotiating tax provisions related to partnership allocations, distributions, withholding, and transfer taxes, ensuring that clients navigate each transaction efficiently.

Andrew is also experienced in handling transactions involving real estate investment trusts (REITs), including acquisitions, contributions, and joint ventures. He conducts in-depth research on REIT qualification, taxable REIT subsidiaries, and related structuring considerations, positioning himself as a knowledgeable resource for clients in this specialized area.

Additionally, his practice includes comprehensive tax research and writing focused on California real estate matters, addressing property tax reassessment issues, change-in-ownership rules, documentary and real property transfer taxes, all while developing strategic planning considerations.

Prior to law school, Andrew served as a Peace Corps volunteer, teaching math in French to middle school and high school students in Guinea.
