Gregory "Greg" is a practical, business-minded lawyer and savvy dealmaker who assists clients in a variety of matters involving real estate development, construction, leasing (office, industrial, and retail), and joint venture transactions. Fortified by his significant experience in the California real estate market, he is a go-to counselor for investors, developers, owners, and landlords. 

For every enterprise, Greg becomes embedded in his clients' business, gets to know their appetite for risk, and remains mindful of their issues of particular concern. He mirrors their perspective as he works through all phases of their project, from inception to disposition.

Greg uses his diverse knowledge base—accumulated from the vast number of deals he does, the deals he sees, and the range of parties with whom he works—to formulate big-picture strategies. As deals progress he becomes a formidable negotiator and skilled closer of high-value transactions for his clients.

Leasing

A significant part of Greg’s practice involves representing landlords in leasing a variety of properties (office, industrial, and retail). He has particular knowledge in the retail sector, where he has worked to secure all sizes of tenants from big-box anchors to small-shop owners in mixed-use urban developments and suburban shopping centers.

Supported by a qualified team of associates, Greg ensures that landlords and property managers receive responsive, reliable documents—including ground leases, subleases, lease assignments, and related contracts—and cost-effective support and service to meet their day-to-day legal needs.

Real Estate Development

Greg’s keen understanding of market trends and the role of timing in a profitable development allows him to craft and negotiate favorable deals. While he handles a range of real estate projects, he retains a specific sub-focus on large, upscale residential developments.

Greg excels at negotiating sophisticated purchase and sale agreements and bullet-proof construction contracts with builders, sub-contractors, architects, designers, engineers, project consultants, and others that protect his client’s interests. He is always on top of recent developments in the law and tailors contract language accordingly.

From a litigation perspective, Greg ensures that his clients are in the best position for a claim in any dispute resolution proceeding, particularly in those where delays and work product quality directly impact value and profits.

In all areas of purchase, sale, leasing, and development, Greg handles the necessary agreements, including easements; indemnities; Covenants, Conditions & Restrictions for both traditional and industrial/office condominium associations; reciprocal easements; subordination; nondisturbance and attornments; telecommunications access; broker representations, listings, and commissions; and complex equipment leases and subleases, among others.

  • Developer. Purchase from a national home builder of 604 homesites in 10 communities within Southern California, which representation included the drafting and negotiating the various project purchase and sale agreements, development and services agreements, construction agreement, marketing and sales agreements and other ancillary documents.
  • Developer. Preparation and negotiation of construction contracts, marketing and sales agreements, development and services agreements and a reciprocal easement and cost sharing agreement and various other ancillary construction/professional service agreements in connection with the completion of two separate projects containing approximately 270 residential units in San Luis Obispo and Carpinteria, California.
  • Developer. Preparation and negotiation of a construction agreement and related design professional agreements to build a 562 residential units apartment project in Los Angeles, California, which included approximately 45,000 square feet of commercial space.
  • Developer. Preparation and negotiation of a construction contract, a construction management agreement, an architect agreement, parking operator agreement and various ancillary construction/professional service agreements in connection with the completion of a three building, 180-luxury unit residential condominium project in Hollywood, California.
  • Lender/Land-Banker. Development of residential communities in California, Arizona, Colorado, Nevada and Florida. Representation included negotiating fee-build construction contracts and marketing and sales agreements with various national and regional home builder for the construction, marketing and sale of more than 3,000 residential dwelling units.
  • Developer. Renovation of the LAX Radisson Hotel and the design/build construction of an adjacent seven-level parking structure, which representation included drafting and negotiating a multi-million-dollar design/build construction contract for the development of the parking structure, as well as various architecture and engineering agreements for offsite work and the hotel renovation.
  • Developer/Landlord. Development and leasing of a 430,000 rentable square foot mixed-use (shopping center/office park) development located in Clark County, Nevada. Responsibilities included (i) advising client on business issues, (ii) drafting form leases for 250,000 rentable square foot retail shopping center and adjacent 183,000 rentable square foot office park, (iii) drafting and negotiating letters of intent and retail leases for major anchor and pad tenants, and (iv) drafting easements and other development related documents.
  • Landlord. Preparation and negotiation of a 35,000 square foot, anchor tenant, supermarket lease with a national grocer in Elk Grove, California.
  • Represented several clients in the acquisition of distressed debt secured by commercial real estate in California, and the subsequent foreclosure of the debt instruments to acquire title to the underlying real estate.
