Adam L. Marx

Associate

Adam is an associate in the San Francisco office who represents commercial developers, investors, family offices, and financial institutions in all phases of joint venture and real estate transactions. He has advised clients in the negotiation and execution of over $10 billion in joint venture and equity deals involving multifamily, data center and infrastructure, industrial, office, and other commercial real estate assets throughout the United States.

Adam has experience assisting clients with a range of equity and debt transactions, such as complex co-GP platform vehicles, investment and development joint ventures, acquisitions and dispositions, and borrower-side financing. His clients, including national investors and developers, global asset managers, and family offices, value Adam’s ability to manage a deal and efficiently close transactions while mitigating potential risks.

Adam’s prior professional experience includes working in the legal departments of a REIT and of a privately held investment company, as well as at one of the largest global commercial real estate companies.

Adam has experience assisting clients with a range of equity and debt transactions, such as complex co-GP platform vehicles, investment and development joint ventures, acquisitions and dispositions, and borrower-side financing. His clients, including national investors and developers, global asset managers, and family offices, value Adam’s ability to manage a deal and efficiently close transactions while mitigating potential risks.

Adam’s prior professional experience includes working in the legal departments of a REIT and of a privately held investment company, as well as at one of the largest global commercial real estate companies.

JV and Equity Transactions

  • Counseled various national investment and development clients in the structuring of joint ventures for the purchase and development of assets throughout the United States.
  • Represented a Los Angeles-based publicly traded real estate company in various portfolio acquisition joint ventures, co-GP joint ventures, recapitalization transactions and standard single asset joint ventures.
  • Represented a Los Angeles-based development company in its acquisition of a major studio space in Burbank, California, including its joint venture with a foreign pension manager, co-GP joint venture with a national developer and its borrowing of debt from the studio operator.
  • Represented a privately held real estate company in its formation of its flagship fund, and its initial $50 million investment from a global real estate company.
  • Represented a family office in its recapitalization of its billion dollar portfolio of office and retail assets in Los Angeles, California, to admit a privately held real estate developer as a joint venture partner.
  • Represented a multifamily developer and operator in the structuring of a nationwide development platform fund.
  • Represented a publicly traded real estate fund manager in the formation of a joint venture for the acquisition and development of an industrial park spanning over 100 acres in Texas.
  • Represented an industrial developer in the formation of a joint venture for the development of a 230,000-square-foot industrial center in Kern County.
  • Represented a national developer and operator in the repositioning of a 256-unit multifamily property in Arizona.
  • Structured a platform co-GP venture for the development of three Las Vegas-area multifamily assets.
  • Represented a prominent family office in the formation of a $400 million development joint venture in Las Vegas.
  • Represented a prominent family office in the deployment of over $500 million of equity capital as a limited partner and co-general partner for industrial assets throughout Southern California.

Investment Deals

  • Represented a developer and operator in the purchase of over $500 million in multifamily assets across the United States, encompassing more than 1,900 units and exceeding 1.76 million square feet.
  • Represented various institutional and family office clients in the purchase and sale of assets across the United States.

Finance Matters

  • Advised a global investment management firm in closing over $100 million in multifamily loans.
  • Represented a borrower in refinancing over $200 million in commercial real estate debt.
  • Represented a joint venture in obtaining $250 million in construction debt for development of a mixed-use project in Las Vegas.
