Debra "Deb" A. Riley

Partner

Debra represents municipalities, special districts, developers, and bondholders in connection with public finance issues, including out-of-court restructuring of community facilities districts and assessment district bonds, refunding/refinancing of public bonds, the purchase and sale of defaulted public securities, and the use of Chapter 9 proceedings to restructure public securities. She regularly handles issues involving adequate disclosure, indentures, fiscal agent agreements, and rate method and apportionment of special taxes, development agreements, acquisition agreements, reimbursement agreements, subdivision improvement agreements, surety bonds, and lien contracts.

Debra has also served as counsel for municipalities, special districts, developers, institutional investors, debtors, creditors' committees, and secured and unsecured creditors in complex out-of-court restructurings and Chapter 11 proceedings throughout the country, including California, Delaware and New York. Her experience covers a wide array of industries, including real estate, manufacturing, dietary supplements, subprime lending, technology, and healthcare.

Debra has significant experience in pre-negotiated, pre-planned bankruptcy cases resulting in efficient, effective, and timely restructurings. Debra has drafted plans of reorganization, disclosure statements and related plan implementation documents, and has handled contested matters involving debtor-in-possession financing, asset sales, plan confirmation, claim objections, and the assumption and assignment of executory contracts and unexpired leases and license agreements.

Prior to joining Allen Matkins, Debra was a partner at a national law firm in Chicago where she was involved in many nationally prominent bankruptcy cases and out-of-court restructurings of public and private debt.

Before embarking on the practice of law, Debra was a certified public accountant in Connecticut and maintained an audit and consulting practice with a predecessor to Ernst & Young.

MUNICIPAL AND PUBLIC DEBT REPRESENTATIONS

  • City of Lathrop, Community Facilities District 2006-1. Represent the CFD in connection with the restructure of $50 million of defaulted special tax bonds issued in 2006, which included completion of an AB 506 process, amendments to rate method and apportionment of taxes and continuing disclosure obligations.
  • County of Nevada, Community Facilities District 1990-1. Represent the CFD in connection with its defaulted special tax bonds issued in 1990 and the failed development project.
  • Rams Hill Master Planned Community. Acquisition of distressed real estate and related defaulted special tax bonds.
  • Thousand Oaks Marketplace. Refunding of $23.5 million of community facilities district special tax bonds and the property owner's continued disclosure requirement.
  • City of Palmdale. Defaulted special tax bonds and related development issues. Chapter 11 proceeding of the landowner, a Chapter 11 proceeding of the adjacent landowner, the termination of an acquisition agreement, issues related to defaulted special taxes, the restructuring of $33 million of special tax bonds, amendments to the rate method and apportionment of special taxes and related bond indenture, amendments to development agreements and subdivision improvement agreements, and the prosecution of breaches under surety bonds.
  • Orange County Bankruptcy. Represented the City of Anaheim in connection with the 9 proceeding for Orange County, California.
  • West Penn Allegheny Health System. Represented MBIA Insurance Company in connection with an out of–court restructuring of existing public debt coupled with issuance of $465 million of new revenue bonds.

DEBTOR REPRESENTATIONS

  • Javo Beverage Company, Inc. (District of Delaware). Javo manufactures and distributes coffee and tea-based dispensed beverages. Within 100 days after the filing of the bankruptcy case, a Chapter 11 plan of reorganization was confirmed that provided for, among other things, (i) taking Javo, a publicly traded company, private, (ii) the issuance of new senior debt, (iii) conversion of $33 million of debt into new equity and subordinated notes, (iv) restructuring of unsecured creditors' claims, and (v) cancelling and extinguishing all outstanding public equity interests.
  • Metabolife (Southern District of California). Metabolife was a manufacturer and wholesaler of brand-name nutritional herbal and dietary supplements, primarily for weight management. The Chapter 11 case was filed in the face of hundreds of product liability cases around the country involving hundreds of millions of dollars in claims. Within the first 90 days of the bankruptcy case, the company's assets were sold pursuant to section 363 of the Bankruptcy Code. Thereafter, a settlement with the product liability claimants was negotiated and a plan of liquidation was confirmed which included a settlement trust for product liability claimants with contributions from the debtor, insurers and co-defendants.
  • Axiohm Transaction Solutions, Inc. and related companies (District of Delaware). Axiohm designed, manufactured and marketed transaction printers. Through a pre-negotiated Chapter 11 plan of reorganization, in excess of $200 million of public debt was restructured.
