Membership Programs

We have extensive experience in designing, structuring and preparing all types of club membership program documents for golf, tennis, marina, spa, and other forms of membership clubs. We balance the sometimes-competing interests of establishing a club program that will be accepted by a particular market and maximizing the financial value of the club program for the developer. Our attorneys analyze issues relating to the various types of club structures, including right-to-use clubs, equity, non-equity and refundable deposit clubs, and association-owned clubs, to develop the best club program for achieving our client's objectives.

"They provide high quality representation with a major concern for cost. Efficient and excellent service."

- Vice President and Senior Counsel, International Hospitality Company

EXPERIENCE

The complex nature of membership programs involves securities law issues and tax regulations. Our multidisciplinary team of lawyers allows us to ensure your program conforms to and maximizes the benefits available under all applicable securities, income tax, and property tax laws. We provide the necessary documentation to form and operate clubs, including:

  • Founder membership offerings
  • Membership plans
  • Articles and by-laws
  • Rules and regulations
  • Membership agreements
  • Frequently asked questions
  • Club management agreements
  • Other related club documents

In connection with shared facilities, we negotiate and prepare access agreements, use agreements, cost sharing and other agreements to facilitate access and use of facilities by different groups utilizing the club ranging from property owners, local and out of area members and guests.
