Construction Contracts

Contract Review and Negotiation

Allen Matkins routinely drafts and negotiates a wide range of contracts used in the construction process, including manuscript contracts and the standard form agreements used in the design and construction industries.

These include:

EXPERIENCE

  • Estancia Homes. Represented national lender/land-banker in the establishment of a residential development program to construct, market and sell homes on residential lots acquired through foreclosure or busted land-bank deals in California, Arizona, Colorado, Nevada and Florida. Representation includes establishing separate ownership entities for more than 20 separate projects and negotiating fee-build construction contracts and marketing and sales agreements with various national and regional home builder for the construction, marketing and sale of more than 3,000 residential dwelling units in California, Arizona, Colorado, Nevada and Florida.
  • LNR Property Corporation (Carson Marketplace Project). Represented developer/owner in connection with the preparation and negotiation of various construction related documents with Snyder Langston L.P. for the design and construction of certain below-grade and at-grade elements (including installation of a complex "Foundation and Pile Systems", building slabs and certain subsurface utilities) of a mixed use project (comprised generally of retail, entertainment, hospitality and residential components) commonly known as "The Boulevards at South Bay" located on 157 acres of real property having a street address of 20300 Main Street in Carson, California. Total contract value is in excess of $100 million.
  • LNR Property Corporation (Bressi Village Shopping Center Project). Represented developer/owner opposite Grant Construction in connection with the preparation and negotiation of a Guaranteed Maximum Priced Construction Contract with Grant General Contractors for the construction of the Bressi Village retail center located in San Diego, California, consisting of approximately 12 acres of sitework, completion of three graded building pads for delivery to tenant contractors, and the construction of nine retail buildings. Total contract value is in excess of $15 million.
  • Confidential Developer/owner. Represented developer/owner in connection with the preparation and negotiation of an Architect Agreement for the design of a four-story residential, wrap-style apartment building with two independent parking structures in Northern California. The project is intended to meet the Minimum LEED (Leadership in Environmental and Energy Design) certification from the USGBC (United States Green Building Council) under LEED NC version 2.2. Total project value is in excess of $68 million.
  • Confidential Developer/owner. Represented developer/owner in connection with the preparation and negotiation of an Architect Agreement for the design of a four-story residential apartment building (Type V configuration) over two levels of above and below ground parking with approximately 1,500 square feet of retail space, a leasing office and resident amenity space in Northern California. Total project value is in excess of $59 million.
  • Resmark Equity Partners, LLC (Hollywood Project). Represented developer/owner in connection with the preparation and negotiation of an Architect Agreement with Cuningham Group Architecture, P.A. and a Construction Contract with Snyder Langston (Hollywood) for the completion of construction of that certain partially constructed seven-story multi-unit residential tower located at 1633 N. La Brea Avenue, Hollywood, California. Total contract value is in excess of $20 million.
  • Owner. Represented an owner in negotiations of a multimillion general contract for site improvements and utility relocations for a large existing commercial building. 
  • Confidential Developer/owner. Represented developer/owner in connection with the preparation and negotiation of an Architect Agreement for the design of a four-story residential, wrap-style apartment building with two independent parking structures in Northern California.
