Max E. Rawn

Partner

Max is a partner in the Los Angeles office and a member of the Commercial Finance and Real Estate practices. Max represents lenders and borrowers in connection with a wide range of financing transactions, including construction loans, mezzanine loans, commercial mortgage loans, secured and unsecured syndicated loans, letters of credit, asset-based loans, factoring arrangements, and bond issues. He represents banks and other financial institutions in loan workouts and restructurings, and advises both lenders and borrowers on matters related to bankruptcy, foreclosure, and other collections litigation.

Max also represents banks in connection with regulatory compliance and regulatory investigations at the local, state, and federal levels in relation to both commercial and consumer lending. He has considerable experience working with control and compliance personnel to develop training materials, policies and procedures to create a strong control environment, both within financial institutions and with respect to outside vendors. Regulations with which Max has extensive experience include the National Flood Insurance Act, Equal Credit Opportunity Act (Reg B), Home Mortgage Disclosures Act (Reg C), Service Members Civil Relief Act, Fair Credit Reporting Act, Gramm-Leach-Bliley Act, and Fair Debt Collection Practices Act.

Prior to joining Allen Matkins, Max worked as an Assistant General Counsel for the Commercial Term Lending unit of JPMorgan Chase Bank, and before that he was an associate at national law firms including Morrison & Foerster LLP. Before entering private practice, he clerked for the Honorable William J. Hillman at the United States Bankruptcy Court for the District of Massachusetts.

  • National Bank. Represented agent for a syndicate of lenders in $75 million term and revolving asset-based financing for equipment leasing company.
  • Regional Bank. Represented agent for a syndicate of lenders in $300 million cross-border term and revolving financing for nuclear energy and aerospace company secured by assets including regulated nuclear materials.
  • Regional Bank. Represented agent for a syndicate of lenders in $160 million term financing secured by a borrowing base consisting of equipment and agricultural real estate.
  • Regional Bank. Represented agent for a syndicate of lenders in $22 million trade financing secured by a borrowing base composed primarily of inventory and receivables.

Commercial Finance

  • Private Equity Fund. Represented agent for a syndicate of lenders in $18 million second lien financing secured primarily by real estate and broadcasting rights and licenses.
  • Regional Bank. Represented agent in $60 million syndicated term and revolving financing for film and television production services company.
  • Talent Agency. Represented talent agency in $30 million term financing for production of a syndicated television program.
  • Entertainment Company. Represented lender in $20 million acquisition financing for video-game producer secured primarily by intellectual property, receivables, and pledges of subsidiary equity.
  • Regional Bank. Represented lender in $35 million term financing for film and television studio.
  • Regional Bank. Represented lender in $4.5 million term financing secured by a corporate aircraft.
  • National Bank. Represented agent for a syndicate of lenders in $500 million unsecured term acquisition financing.

Real Estate Finance

  • Gaming Company. Represented borrower in $4 billion revolving financing for construction of a Las Vegas casino-hotel secured by pledges of stock in casino operating companies.
  • National Bank. Represented agent for a syndicate of lenders in $355 million term financing secured by Class A office property in downtown Los Angeles.
  • Regional Bank. Represented issuing bank in issuance of a $6 million real property secured direct-pay letter of credit.
  • REIT. Represented lender in $24 million mezzanine financing for acquisition of two large resort properties secured by equity in hotel operating companies.
  • Private Equity Fund. Represented lender in $450 million term financing secured by over 100 restaurant properties located in over 30 states.
  • Regional Bank. Represented lender in $15.5 million term and revolving financing secured by 13 gas station properties.
  • Regional Bank. Represented lender in $55 million term and revolving financing secured by 6 nurseries in 3 states.
  • Regional Bank. Represented lender in $13 million term financing secured by golf course property.
  • Regional Bank. Represented lender in $75 million construction financing for a hotel.
  • Regional Bank. Represented lender in $9.5 million term financing secured by residential real property.
  • Regional Bank. Represented lender in $14 million term financing secured by warehouse property.
  • Regional Bank. Represented lender in $125 million term financing secured by retail property.

Regulatory Compliance

  • National Bank. Developed bank loan documentation training used to support annual origination of approximately $15 billion of commercial mortgage loans.
  • National Bank. Developed internal bank procedures for compliance with municipal laws requiring the registration of real property that is vacant or in foreclosure.
  • National Bank. Developed internal bank procedures and outside counsel procedures concerning collections litigation, bankruptcy, and residential tenant evictions.
