Ryan T. Waggoner

Partner

Ryan is a leading real estate litigator in California. He has deep experience representing clients in disputes concerning partnership agreements (both written and oral), commercial leases, purchase and sale agreements, and financing and security agreements. Ryan represents Fortune 500 companies, middle market companies, and emerging businesses.

Ryan has a deep understanding of the unique rules and regulations that apply to real estate and real estate secured transactions. He has successfully resolved complex real estate-related disputes at every level, including through pre-litigation negotiations, mediation, arbitration, and traditional litigation in virtually all forums, including state and federal courts.

Most recently, he secured a complete defense verdict on behalf of a real estate developer client, which the Daily Journal recognized as one of largest and most significant verdicts in California.  Ryan was also named to Los Angeles Business Journal’s 2023 "Leaders of Influence: Litigators & Trial Lawyers."

Recent Trial Experience

  • Dansk Investment Group. Obtained complete defense decision in five-week jury trial concerning an alleged joint venture agreement to buy and redevelop a hotel located in Huntsville Alabama (first chair). Result featured in the Daily Journal and Santa Barbara News-Press. 
  • Mortgage Servicer. Obtained defense decision in two-week jury trial concerning allegations that mortgage servicer violated California’s Consumer Credit Reporting Agencies Act (first chair).
  • Industrial Tenant. Obtained defense decision in arbitration concerning contractual dispute over when rent escalated in a lease, including recovery of 100% of attorneys' fees and costs sought (first chair).

  • Development Company. Obtained defense decision in a bench trial relating to ownership and disposition of partnership assets following dissolution of a partnership (first chair).
  • Development Company. Obtained defense decision in an accounting-arbitration venued in Houston, Texas in which claimant alleged accounting-fraud in connection with a partnership buyout transaction (first chair).
  • ING Realty Partners. Obtained defense decision on behalf of a real property seller regarding the disposition of an earnest money deposit in a binding arbitration proceeding (first chair).
  • Independent Agency. Obtained defense decision in bifurcated bench and jury trial concerning allegations of lender liability (second chair).
  • EdenRock Capital, LLC. Successfully defended EdenRock in a partnership dispute related to a commercial property located in Santa Monica in a binding arbitration proceeding (second chair).

Pre-Trial Experience

  • Desert Jet.  Represented fixed base operator (FBO) in a lease dispute against the County of Riverside, forcing the County to voluntarily dismiss its claims against Desert Jet through a successful motion that resulted in a favorable tentative ruling for Desert Jet.  Result featured in KESQ News.
  • Amstar. Represented Landlord in a breach of lease action in which Landlord recovered 100% of the aggregate sum of lost rent and attorneys’ fees expended through a compelled sale of investment property personally owned by Tenant’s CEO.
  • First Federal Bank of California. Represented First Federal in lawsuit to enforce guaranty securing a $25 million loan, which included successfully obtaining a court-appointed receiver to seize control of and operate a condominium development.
  • Canadian Development Company. Represented a Canadian development company in connection with a former buyer’s recordation of a lis pendens days before the client’s scheduled closing date to acquire an office building in downtown Los Angeles, forcing a withdrawal of the lis pendens only 41 days after it was recorded and paving the way for the transaction to close.
  • Medical Arts Building, L.P. Represented the owner of a West Covina office building in a pre-litigation dispute arising from its sale of the building to a third party and the allocation of leasing and tenant-improvement costs in connection with such sale.
  • Latitude Management Real Estate Investors, Inc. Obtained defense decision in favor of Latitude in a matter arising from lease disputes concerning real estate tax escalations and other additional rent charges.
  • Principal Real Estate Investors, LLC. Represented Principal in a partnership dispute related to a 50-story condominium project in San Francisco.
  • Kilroy Realty Corp. Represented Kilroy in several matters relating to lease disputes and CC&Rs.
  • Maguire Properties, Inc. Represented Maguire in a matter relating to CC&Rs and related restrictive covenants.
  • State Teachers Retirement System of Ohio. Represented Ohio State Teachers in several matters arising from lease disputes.
  • Equus Capital Partners, Ltd. Represented Equus’s predecessor in an action against a general contractor for fraud and other construction defects.
  • City of Richmond. Assisted City of Richmond with real estate-related matters concerning its Economic Development Administration Revolving Loan Fund.
  • Mortgage Lenders. Represented two of the nation's largest mortgage lenders in multiple creditors’ rights matters, including commencement of foreclosure proceedings.
  • Developer. Represented developer in action to enjoin intended use of property as medical facility.
